Terms and Conditions for Face-to-Face / In-Person Training Courses

1. Introduction

1.1 These terms for face-to-face / in-person training courses are the entire agreement between The Medication Training Company Ltd, trading as The Medication Training Company, and the client in respect of face-to-face / in-person training courses. No variation shall be effective unless such variation is in writing and signed by The Medication Training Company Ltd and the client. Verbal agreements will not form part of these terms. These terms override any other terms stipulated or referred to by The Medication Training Company Ltd or the client.

1.2 All prices stated at the time of booking are quoted exclusive of value added tax, which will be added at the rate applicable on the date the invoice is issued.

Each course has a maximum number of delegates, which is stated on the relevant course page, quotation, or booking information at the time of booking. The stated maximum number is the maximum permitted attendance for that course, unless we agree otherwise in writing in advance.

The client must not send more than the stated maximum number of delegates to a course without our prior written agreement.

If additional delegates attend without prior written agreement, they may be refused entry. Exceptionally, and only at the discretion of the trainer, additional delegates may be admitted where this does not affect the quality, safety, or delivery of the training. Any such admission does not change the stated maximum number for the course and does not create any right for additional delegates to be admitted in future.

Where additional delegates are admitted, an additional charge will apply for each extra delegate. Unless otherwise agreed in writing, the per-person charge for each extra delegate will be calculated by dividing the agreed course fee by the stated maximum number of delegates for that course.

For example, if the agreed course fee is £895 and the stated maximum number of delegates is 16, the additional charge will be £55.94 per extra delegate. If two additional delegates are admitted, the total additional charge will be £111.88, excluding VAT.

We reserve the right to refuse entry to any delegates above the stated maximum.

1.3 The Medication Training Company Ltd shall be entitled to vary its standard charges from time to time by giving the client not less than three months’ written notice.

1.4 Full payment for open courses is due in advance of the agreed course date.

1.5 For new customers, full payment for courses is due in advance of the agreed course date.

1.6 Payment terms are 30 days after the “invoice date” printed on the invoice. After 30 days from this date, The Medication Training Company Ltd reserves the right to charge an administration fee of £50 and then interest at 8% above the Bank of England base rate, compounded monthly.

1.7 The Medication Training Company Ltd agrees to deliver training courses in a professional manner, using every care to provide a satisfactory service. The Medication Training Company Ltd shall, at its own expense, supply the client with necessary documents, materials, and data relating to the training course in accordance with these terms. The Medication Training Company Ltd shall ensure the accuracy of all materials it provides.

1.8 The Medication Training Company Ltd may at any time, without notifying the client, make any changes to the training courses which are necessary to comply with any applicable safety, statutory, regulatory, or professional requirements.

1.9 The client must advise The Medication Training Company Ltd in writing or by email if it requires any amendments to a confirmed training course.

2. Face-to-Face / In-Person Training Courses

2.1 Delegates must attend the whole of the training course to qualify for certification. Attendees who are more than 30 minutes late may only be admitted to the course at the discretion of the trainer.

2.2 In the event that no delegates attend a confirmed training course, the trainer will wait at the training venue for one hour, or until instructed to leave by the client. The client will remain liable to pay The Medication Training Company Ltd the full agreed price for the training course.

2.3 If the trainer has to travel more than two hours to deliver the training course, overnight accommodation may be required.

Where overnight accommodation is required, The Medication Training Company Ltd will seek to book reasonable quality accommodation for the trainer. The client will be charged the actual cost of the accommodation, up to a maximum of £105 per night.

For example, if the accommodation costs £90, the client will be charged £90. If the accommodation costs £120, the client will be charged no more than £105.

If the venue is more than 25 miles away from the trainer’s home address, we will charge mileage for the number of miles in excess of 25 miles at 50p per mile, or the cost of public transport. For example, if the venue is 100 miles away one way, the client will pay for 150 miles at 50p per mile. If public transport is used, full receipts will be provided to the client on request.

2.4 Training courses may be changed or cancelled without penalty provided at least 21 working days’ notice is given.

The following charges will apply for cancellations or changes made with less notice:

2.5 The Medication Training Company Ltd shall provide training delegates with handouts and supporting materials for the course, unless otherwise agreed between The Medication Training Company Ltd and the client.

2.6 The client will provide and pay for the venue for the training course unless otherwise agreed in writing.

The client shall ensure that the venue is suitable for the training course, clean and tidy, and that it protects the health and safety of the trainer and attendees. The client will provide sufficient chairs and tables for the delegates.

The client will be liable for any insurance required for the venue and will provide a copy of the insurance certificate to The Medication Training Company Ltd if requested.

If the room is not suitable or is not appropriately laid out, we reserve the right to cancel the training course.

2.7 In the event of non-attendance by The Medication Training Company Ltd’s trainer for any reason outside of the client’s control, a refund of the course fee will be issued.

2.8 Where The Medication Training Company Ltd is responsible for paying for room hire and/or refreshments, a reasonable charge will be added to reflect the costs incurred by The Medication Training Company Ltd.

3. Liabilities

3.1 The property and any copyright or other intellectual property rights in any material provided by The Medication Training Company Ltd shall, unless otherwise agreed in writing between the client and The Medication Training Company Ltd, belong to The Medication Training Company Ltd. The client may use the material only for the purpose of participating in or utilising the training course.

3.2 The Medication Training Company Ltd warrants to the client that the training courses will be provided using reasonable care and skill and, as far as reasonably possible, in accordance with the course specification.

Where The Medication Training Company Ltd supplies, in connection with the provision of the training courses, any goods supplied by a third party, The Medication Training Company Ltd does not give any warranty, guarantee, or other term as to their quality, fitness for purpose, or otherwise. Where possible, The Medication Training Company Ltd will assign to the client the benefit of any warranty, guarantee, or indemnity given by the person supplying the goods to The Medication Training Company Ltd.

3.3 Except in respect of death or personal injury caused by The Medication Training Company Ltd’s negligence, or as expressly provided in these terms, The Medication Training Company Ltd shall not be liable to the client by reason of any representation, unless fraudulent, or any implied warranty, condition, other term, duty at common law, or under these terms, for any loss of profit or any indirect, special, or consequential loss, damage, costs, expenses, or other claims which arise out of or in connection with the provision of the training courses or their use by the client.

In any event, the entire liability of The Medication Training Company Ltd under or in connection with these terms shall not exceed the amount of The Medication Training Company Ltd’s charges for the provision of the training course, except as expressly provided in these terms.

3.4 The Medication Training Company Ltd shall not be liable to the client or be deemed to be in breach of these terms by reason of any delay in performing, or any failure to perform, any of The Medication Training Company Ltd’s obligations in relation to the training courses, if the delay or failure was due to any cause beyond The Medication Training Company Ltd’s reasonable control.

3.5 The client may terminate the contract at any time by giving not less than one month’s written notice to The Medication Training Company Ltd.

3.6 Either party may, without limiting any other remedy, terminate the contract by giving written notice to the other if the other party commits any breach of these terms and, if capable of remedy, fails to remedy the breach within 30 days after being required by written notice to do so.

Either party may also terminate the contract if the other party goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors, or has a receiver or administrator appointed.

3.7 A notice required or permitted to be given by either party to the other under these terms shall be in writing and addressed to the other party at its registered office, principal place of business, or such other address as may have been notified to the party giving the notice.

3.8 No failure or delay by either party in exercising any of its rights under these terms shall be deemed to be a waiver of that right. No waiver by either party of any breach of these terms by the other shall be considered a waiver of any subsequent breach of the same or any other provision.

3.9 English law shall apply to these terms, and the parties agree to submit to the non-exclusive jurisdiction of the English courts.

3.10 Nothing in these terms is intended to, nor shall it, confer any right on a third party, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
